Key takeaways

  • Form 4 reports insider purchases and sales by officers, directors and holders of more than 10% of a company's shares.
  • EDGAR's Latest Filings feed can be filtered to ownership forms for free, but it cannot filter by buys or by role.
  • AyeWatch sends Form 4 alerts only for trades that fit a plain-English rule; paid plans start at $9 a month.

A SEC Form 4 tracker tells you when a company insider, such as a director, an officer or a holder of more than 10% of the shares, reports buying or selling stock. You can build one for free from EDGAR's ownership-filing feeds, or use AyeWatch to get a push alert only for the trades you describe, such as open-market buys by tech company directors.

Why tech people watch Form 4s

Tech runs on stock compensation, so Form 4s from big tech names are constant. Most of them are dull: grants vesting, shares withheld for tax, sales under a preset trading plan. Buried in that stream are the rarer filings people actually talk about, like a founder buying more stock with their own money, or a new CFO picking up shares in the first month.

The problem is never access. EDGAR publishes every Form 4 for free. The problem is reading enough of them to find the five that matter.

Option 1: build a free tracker on EDGAR

EDGAR's Latest Filings search can be narrowed by company, CIK or form type, and has a switch to include, exclude or show only ownership filings (Forms 3, 4 and 5). Each search has an RSS link above the results.

  1. Pull up the Latest Filings search and filter to form type 4.
  2. Add a company or CIK if you only care about one name.
  3. Drop the RSS link into a feed reader with notifications.

That gets you every Form 4 for the names you chose, in near enough the order they land. There is no email option from the SEC for filings, and no filter for "buys only" or "directors only" in the feed itself.

Option 2: describe the trades you want in AyeWatch

AyeWatch lists Form 4 insider buys alongside 8-Ks and IPO filings in its investor tools. You set it up with a sentence:

Alert me when a director or C-level officer at a large US software or chip company reports an open-market purchase.

It checks against the meaning of that rule rather than a keyword, and each alert comes with a short summary and the source filing. Alerts go to your phone and in-app feed on every plan. Paid plans start at $9 a month, billed in monitoring credits, and can also send to Slack, Discord, email or a webhook if you want insider buys posted into a group channel.

Use the EDGAR feed when you want every insider filing for one or two companies and enjoy reading them. Use AyeWatch when you want the short list without the vesting noise. You can try a Form 4 monitor free on AyeWatch and compare it with your own read of the week's filings.

Read the alert, then the filing

Insider buying is a data point, not a verdict. People buy stock for many reasons, and a single purchase says little on its own. Open the filing, check the price and the size against what the insider already holds, and look at the company's other recent filings. None of this is investment advice.

Frequently asked questions

Who has to file a Form 4?

Investor.gov says officers, directors and holders of more than 10% of a class of a company's securities report purchases, sales and holdings on Forms 3, 4 and 5.

Can I track only insider buys, not sales?

EDGAR's feeds list every Form 4. In AyeWatch you can write the rule to cover open-market purchases only.
