Key takeaways
- OpenAI has confidentially submitted a draft S-1 to the SEC but has not announced an IPO date, and EDGAR shows no public OpenAI S-1 as of November 7, 2026.
- OpenAI said it has not decided on timing and that it may be a while, according to eWeek's report on its statement.
- Greg Brockman said on November 4 that OpenAI could be IPO-ready in 2027, TechCrunch reports.
There is no OpenAI IPO date. As of November 7, 2026, OpenAI has confidentially submitted a draft S-1 registration statement to the SEC, but it has not filed a public S-1, has not named a listing date, and has said it has not decided on timing. The only date anyone at OpenAI has floated is a loose one: president Greg Brockman said on November 4 that the company could be IPO-ready in 2027. This page covers what OpenAI has said and what it hasn't. It is not investment advice.
What OpenAI has filed
In June 2026, OpenAI announced that it had confidentially submitted a draft registration statement on Form S-1 to the SEC. eWeek, which links OpenAI's own post, quotes the statement: "We recently submitted a confidential S-1." eWeek's article is dated June 10 and says OpenAI announced on a Monday, which would be June 8. We could not open OpenAI's post itself (it returned an access error), so the wording here comes from that report.
A confidential submission lets a company get SEC staff comments without publishing its financials. Nothing appears on the SEC's public EDGAR database until the company files a public S-1. We searched EDGAR on November 7 and found no S-1 or S-1/A filed by OpenAI. Anthropic, by contrast, has a public S-1 on EDGAR, and we cover it in our report on the Anthropic IPO date.
What OpenAI says about timing
According to eWeek, OpenAI said it has "not decided on timing yet" and that "it may be a while" because some things it wants to do are likely easier as a private company. It also said the filing gives it the option to go public sooner if that turns out to be best. The announcement was made under Rule 135 of the Securities Act, which allows a company to say it is preparing an offering without it counting as an offer to sell shares.
What Brockman said on November 4
At a Wall Street Journal tech conference, Brockman was asked whether OpenAI would be IPO-ready in 2027. TechCrunch reported on November 5 that he answered "I think so. Yes." He did not announce a filing or a date. We have the details in our earlier report.
"Ready" is not a listing date. A company can be ready and still choose to stay private.
Where the funding fits
Bloomberg reported on November 6 that OpenAI closed about $11 billion of a round at a $1.25 trillion valuation, citing people familiar with the matter. OpenAI has not confirmed the figures. A private round of that size suggests no listing is imminent, though that is our reading, not something OpenAI has said. See our report on the round.
What would have to happen before OpenAI lists
These steps are how the SEC process works for any company, not a schedule OpenAI has announced:
- OpenAI files its S-1 publicly on EDGAR. Anthropic's filing shows what that looks like: a price range and share count left blank in early versions.
- OpenAI amends the filing with a price range and share count.
- The SEC declares the registration statement effective.
- The shares are priced and begin trading on an exchange.
OpenAI has not announced an exchange or a ticker.
Can you buy OpenAI stock now
No. OpenAI is a private company, and no shares can be sold to the public until a registration statement is effective. Be careful with products that claim to offer "pre-IPO OpenAI shares". We did not review any, and OpenAI has said nothing about offering shares through them.
What to watch
The first sign of a real date will be a public S-1 on SEC EDGAR. Then an amended filing with a price range. OpenAI's own newsroom is where any statement on timing would appear first.
